                                             ORLANDO RAGE PLAYER CONTRACT (2011-2012)

This Orlando Rage Player Contract  is made and entered into by and between Central Florida Minor League Football, Inc., d/b/a Orlando Rage (hereinafter referred to as RAGE) and PLAYER (as hereinafter identified), the date set forth below. 

WITNESSETH:

Whereas, RAGE is an adult amateur football team organized and existing in and about the Central Florida area. 

Whereas, PLAYER is an athlete seeking to become a team member of RAGE.

Whereas, RAGE and PLAYER are desirous of formalizing a written memorialization of the terms and conditions of their relationship.

Now  therefore, in consideration of the foregoing, the parties agree as follows:

1. TERM: This contract shall become effective immediately upon the execution of this contract by RAGE and PLAYER.  Said contract shall remain in full force and effect until terminated by either party as specifically set forth below or for a period of one year from the date of this agreement, whichever is longer.

2. REPRESENTATIONS OF PLAYER: PLAYER, as identified above, hereby represents that he is of the age of majority, is sui juris and is of excellent health with no known health problems that may hinder his performance of his duties under this agreement.

3. DUTIES OF PLAYER:        PLAYER has entered into this contract and has entered into its relationship with RAGE as a skilled football player. PLAYER agrees to give his best efforts and loyalty to RAGE and conduct himself on and off the field with appropriate recognition of the fact that the success of adult, amateur football depends largely on public respect and for approval of those associated with the game.  PLAYER will report promptly for and participate in RAGE official training camps, meetings, practices, pre-season, regular season and post-season football games scheduled for or by RAGE.  If invited, PLAYER will participate and play in any all-star football game sponsored by any league or entity to which RAGE is a member. PLAYER further agrees to meet all financial commitments and obligations as set forth in this Agreement and as RAGE may from time-to-time deem necessary for the proper functioning of RAGE's business operations. RAGE reserves the right to terminate PLAYER as a member of the team at any time, with or without notice to PLAYER if RAGE or its management or staff determine that PLAYER is not performing up to RAGE’s subjective standards, if PLAYER behaves or conducts himself inappropriately, if, in the opinion of RAGE management or staff, PLAYER is disruptive to the goals of RAGE, for failing to abide by the “Code of Conduct” set forth below, or for any other reason, whatsoever, that RAGE chooses to terminate PLAYER as a member of the team. PLAYER agrees to comply with the “Code of Player Conduct” issued by RAGE. Pursuant to Article 9 of the Florida Football Alliance Rules, PLAYER acknowledges that he may not be eligible to play for any FFA team for the 2012 season if he has any outstanding obligation(s) to any FFA team for the 2011 season, until and unless the obligation(s) is resolved with the prior-FFA team or in conformity with Rule 9. RAGE and the Florida Football Alliance are committed to maintaining an "Amateur" status within the guidelines promulgated by the Florida Football Alliance, the NCAA, NJCAA and the NAIA and therefore PLAYER acknowledges that during the term of this contract PLAYER shall not:

 use his athletic skills for pay in any form in football;

 accept a promise of pay for use of his athletic skills in any form in football;

 sign a contract or commitment of any kind to play professional athletics, regardless of its legal enforceability or any consideration received;

receive, directly or indirectly, a salary, reimbursement of expenses or any other form of financial assistance from a professional sports organization based on athletic skill or participation;

compete on any professional athletic team;

enter into a professional draft;

enter into an agreement with an agent; or

perform any other act which may be considered violation of "Amateurism" within the meaning of the NCAA, NJCAA or NAIA             

4. OTHER ACTIVITIES: During the term of this contract PLAYER shall not engage in any services or perform any activities or services on behalf of any other football team or league in the state of Florida without prior written approval of RAGE. 

In the event, however, PLAYER shall have an opportunity to try out for or enter into a player contract with any professional football team, league or franchise, or be offered an opportunity to try out for or join any college or university football team, then RAGE and PLAYER may terminate this contract upon thirty (30) days notice of the PLAYER's obtaining a try out or entering into a player contract with any such entity and payment of a “buy-out” fee of $1,000.00 paid to and received by RAGE.

5.  FINANCIAL OBLIGATION OF PLAYER:  PLAYER acknowledges that RAGE is an adult, amateur football club and is operated solely for the pleasure and leisure activities of PLAYER, other players, and staff and personnel of RAGE. As such, it is the responsibility of PLAYER to contribute financially to the operation of RAGE. As such, PLAYER agrees to pay Player or league fee of  $250 for FIRST YEAR PLAYERS and $150 for RETURNING 2011 PLAYERS, and to provide his own equipment including, but not limited to NCAA approved helmet and facemask, shoulder pads, cleats, miscellaneous pads as desired by PLAYER. The Player or League fee set forth herein is non-refundable for any circumstances, whatsoever and any refund of any portion thereof is at the sole discretion of RAGE. PLAYER acknowledges that his payment of his Player's Fee and RAGE's acceptance of the same does not in any manner guarantee or warrant to PLAYER anything whatsoever except that he be on the RAGE 2011/2012 Player Roster.

6. PUBLICITY AND LICENSING: PLAYER hereby grants RAGE and any of RAGE's assignees the authority to use his name and picture for both publicity and promotion of any and all leagues or entities in which RAGE may become a member.  Additionally, PLAYER grants unto RAGE the authority to use his name and picture for publicity and promotion of RAGE in any sponsorship, advertising or other promotional activities including print, radio, television, Internet, newspaper or any other form of media including, but not limited to television, radio or internet production, sale and distribution WITHOUT ANY COMPENSATION TO PLAYER..

 

 

 

 

7. COMPENSATION:  PLAYER and RAGE acknowledge and agree that PLAYER is not entitled to, nor shall receive any compensation, whatsoever, for the services referenced in this agreement as RAGE is an adult, amateur football franchise and, in order to maintain its status as "amateur", may not pay or otherwise compensate its players or athletes in any manner. 

8. PHYSICAL CONDITION:  PLAYER represents to RAGE that he is and will maintain himself in excellent physical condition.  PLAYER will undergo a complete physical examination by RAGE physician upon RAGE's request.  During which physical examination, PLAYER agrees to make full and complete disclosure of any physical or mental condition known to him which might impair his performance under this contract and to respond fully and in good faith when questioned by the RAGE physician about such condition. If  PLAYER fails to establish or maintain his excellent physical condition to the satisfaction of RAGE, or make required full and complete disclosure and good faith responses to RAGE, then RAGE may terminate this contract. 

9. INJURY:  RAGE, RAGE personnel, representatives, employees, coaches, players and administration shall not in any manner be responsible for any injury or treatment for such injury incurred by PLAYER in fulfilling or attempting to fulfill his duties under this contract.  This contract shall not  be construed as requiring RAGE or any of its players, staff, employees, officers, directors, shareholders, coaches or administration to provide any medical treatment or support to PLAYER in any manner. PLAYER acknowledges that the sport of football is inherently dangerous and that significant injuries including death may occur as a result.  PLAYER specifically waives any claims, rights or causes of action which it has or may have against any player, coach, administrator, officer, director, shareholder, player or any other person or entity operating either in part or in whole under the direction of RAGE, which injury is incurred or may occur during the course of PLAYER's execution and performance of this contract.

10. SKILL PERFORMANCE AND CONDUCT: PLAYER understands that he is competing with other players for a position on RAGE's roster within the applicable player limits.  If at any time, in the sole judgment of RAGE or any of RAGE coaches, administration, officers, shareholders, directors or other individuals operating under the authority of RAGE, PLAYER's skill or performance has been unsatisfactory or if PLAYER has engaged in personal conduct reasonably judged by RAGE to adversely affect or reflect upon RAGE, then RAGE may terminate this contract and RAGE will have no further obligations under this contract.. 

11. GOVERNING LAW: This contract is made in and shall be governed by the laws of the State of Florida.

12. VENUE AND JURISDICTION:  RAGE and PLAYER agree that any and all claims or causes of action arising out of this contract shall be brought in Circuit Court in Seminole County, Florida and that the Circuit Court of Seminole County, Florida is the sole proper venue for the bringing of any such action.  RAGE and PLAYER each submit themselves to the jurisdiction of the Circuit Court of the State of Florida and, by there signatures hereon, agree that the Circuit Court of the State of Florida has jurisdiction over them for the purpose of adjudicating any dispute by and between RAGE and PLAYER. 

13. PROPERTY AND PROPRIETARY INFORMATION OF RAGE:  PLAYER acknowledges that during the course of his relationship with RAGE he shall, from time-to-time, be provided with certain property and proprietary information that belongs to RAGE.  The extent of the property and proprietary information may change from time-to-time.  However, at the time of this contract, all such proprietary information shall include game uniforms (jerseys and pants), play books and any other information that PLAYER may come into the possession of during the term of this agreement.  At any time during the term of this agreement or at any time thereafter, RAGE may demand return of its personal belongings and proprietary information.

14. DEFAULT, REMEDIES, INJUNCTION AND ATTORNEYS FEES: In the event of any default or breach, or threatened default or breach, of this agreement by PLAYER, RAGE shall be entitled to avail itself of any and all remedies available to it under the laws of the state of Florida, without limitation. Additionally, in the event of any breach, or threatened breach, of  this agreement, RAGE shall be entitled to apply for and obtain, without notice or posting of bond,  an injunction enforcing said terms and conditions of this agreement. If it shall become necessary for RAGE to engage counsel or an attorney to enforce the terms and conditions of this agreement, PLAYER shall be responsible for the payment of any and all such fees or costs.

CODE OF PLAYER CONDUCT

I, PLAYER, agree and pledge to abide by the following rules and “Code of Conduct” during the term of the instant Player Contract:

1.        I shall abide by all rules, instructions, and orders given to me by the Orlando Rage coaches, staff and management.

2.        I acknowledge that my failure to timely appear at and actively participate in team practices will result in my losing playing time and may result in my being ejected from the team.

3.        I shall not knowingly violate any of the rules imposed by the Orlando Rage or by the FFA.

4.        I shall promptly report to all team practices, meetings, and games prepared to perform the tasks required of me.

5.        I shall not utilize any intoxicating substances prior to any game, practice or meeting so that it would interfere with my performance as a player.

6.        I shall return all property of Orlando Rage promptly upon any request by Orlando Rage.

7.        I will promptly appear at the designated time and place for transportation to any away games as instructed and will ride on the team bus to the same, if so instructed.

8.        I shall submit any grievances that I have regarding coaches, management or other players to my Player Representative and I shall not publicly voice any grievance.

9.        I shall at all times conduct myself in an appropriate manner.

10.     I ACKNOWLEDGE THAT VIOLATION OF ANY OF THESE RULES OR “CODE OF CONDUCT” MAY RESULT IN MY EXPULSION FROM THE ORLANDO RAGE.
